Posting Job Title: Counsel, Legal Affairs
The Counsel, Legal Affairs, will draft and negotiate television entertainment contracts for NBCUniversal's Entertainment and Digital Networks and Integrated Media business (which include Bravo and Oxygen). Representative types of agreements include license agreements, production services and co-production agreements, talent agreements, development agreements, brand integration agreements, marketing/promotional agreements, digital rights agreements, and similar documents.

Essential Responsibilities:
Draft, review, negotiate and interpret contracts and other documentation.
Create and update forms.
Provide timely and thoughtful legal advice on potential risks and issues, and propose practical, responsive solutions.
Partner with NBCUniversal business executives to discuss and implement best practices and formulate new processes in connection with business needs.
Work with the Legal Affairs team on major projects with long-term business implications.
Other matters at the direction of the SVP and/or VPs, Legal Affairs.

Qualifications/Requirements
Basic Qualifications:

Outstanding academic credentials (excellent academic record at top tier law school).
Member of California bar.
A minimum of three years of entertainment, intellectual property, corporate transactions, litigation and/or other relevant subject matter expertise.
Must submit transcript and writing sample.

Desired Characteristics:
Outstanding analytic, communication and organizational skills.
Sound business judgment, and flexibility/adaptability to manage multiple wide-ranging matters, conflicting deadlines, and new areas of expertise as business needs change.

Essential Job Duties:
The primary responsibilities of the Standards & Practices Coordinator are to review and monitor music programming content on the BET networks and website(s) to ensure content is in compliance with company policy and standards; and, to monitor competition programming and standards, and audience feedback. 
Specific responsibilities include:

  • Participate in weekly music video review meetings.
  • Provide Initial review and assessment of music videos submitted to the network
  • Obtain lyrics for videos and musical performances
  • Flag videos for discussion in weekly S&P meetings
  • Secondary review of approved music videos to confirm compliance with edit requests
  • Review “Flashback” videos for 106 & Park
  • Update music video review and audio drop logs
  • Monitor website content for S&P compliance
  • Review “contactus” emails and compile pertinent comments
  • Work the delay box for 106 & Park live performances (6-9 hours per week)
  • Review of Tweets for 106 & Park when not pre-banked
  • Review of wardrobes and packages for 106 & Park
  • Review S&P guidelines with Freestyle Friday artists weekly
  • Review other music programming (e.g., new shows, specials)

Skills, Education And Experience:

The Legal division of Topps is seeking an experienced full time Senior Counsel for our New York City headquarters. Topps is willing to consider attorneys with varying transaction-focused backgrounds, but the attorney must have experience and/or great interest in digital media matters (e.g., compliance with internet laws, negotiation of digital development agreements) and must be confident to work on a broad array of company matters with a high degree of independence. The Senior Counsel will report directly to the Vice President - General Counsel and will also work closely with the Associate General Counsel in charge of global intellectual property matters for the company.

Topps Legal is a small staff with global responsibility for Topps' various product offerings. The Senior Counsel will have to juggle many corporate matters at the same time without the support of a large staff.

Duties & Responsibilities
Structure, draft, review, negotiate, analyze and work with internal business partners to complete a wide variety of agreements, including supply agreements, service agreements, license agreements, technology and confidentiality agreements.
Assist with general corporate matters, including corporate record-keeping and company policies.
Advise internal business partners on relevant legal issues. Coordinate internal requests for legal assistance; determine priorities for assigning legal resources and most efficient manner of providing such assistance.
Proactively handle a variety of litigation matters as they arise.
Manage and work with outside counsel and learn the intricacies of various regulatory/compliance matters.

Knowledge, Skills & Experience
5+ years' experience, preferably with generalist experience typically obtained "in-house".
Experience with digital media matters and intellectual property is strongly preferred.
Excellent verbal and written communication skills.
Quick learner with ability to understand the needs of the business and identify legal issues relevant to the business.
Proven ability to work with multiple functional areas.
Ability to communicate effectively and confidently both orally and in writing. Demonstrated skills in interacting with all levels of employees, negotiating, consulting, problem identification and resolution.

Qualifications/Experience:
• Over 10 years in legal practice with at least 8 years music industry legal experience required, and a minimum of 3 years experience in-house with a Major Record Label and/or Major Music Publisher; European Collection Society experience strongly desired.
• Pan-European music industry knowledge and previous international content licensing work preferred.
• Understanding of and experience in advising on contract and intellectual property law within the Music Industry, with a strong focus on music publishing and monetization of digital content.
• Capability to understand and advise on complex business development agreements.
• Understanding of interactive Internet and wireless space; understanding of digital commerce issues (VAT, payment processing arrangements, etc.) a plus.
• Strong drafting skills and attention to detail are essential.
• Ability to work independently and be self-motivated.
